"We, Our or Us" means Cwmni Acen Limited a registered charity no 1105084 being a company limited by guarantee registered in England and Wales with the registered office at Ivor House Bridge Street Cardiff CF10 2EE, company registration number 5143243.
"You or your" means the person, organization, or company purchasing the Goods, If you are buying the Goods for your own personal use and not as part of a business, you are a consumer.
For consumers, specific terms and conditions apply as set out the “Returning Goods” below.
"The Goods" means the goods or services or other items which shall be the subject of a contract between you and us.
"The Price" means the price included in your invoice or in respect internet orders the amount shown on the acknowledgement email sent to you. All transactions will be undertaken in Sterling. Prices shown on the website are for mainland United Kingdom delivery only. Other destinations will be priced on application
"Order" means the order form in relation to the goods to be purchased by you either set out in your purchase order or created through our web site, or by email, fax or on the telephone. Each order shall be construed as an offer to purchase those goods by you.
"Quotation" shall mean a quotation from us in relation to specific goods. Prices included in quotations, our price lists, e-mails, faxes, telephone calls, imputed verbally or from our web site are indicative only and are subject to change by us at any time.
Acceptance of Orders and Creation of Contract
When you place an order to purchase goods from us, we will send an e-mail or sales order by post confirming receipt of the order and showing the order details. The order by you represents an offer to us to purchase goods which is accepted by us when either the goods are dispatched, the service provided or when payment is taken whichever occurs the earlier. Any goods on the same order which have not been dispatched or provided or payment taken for do not form part of that contract.
All prices include VAT at the appropriate rate. Prices will alter if there are any changes to the UK standard rate for Value Added Tax or the conditions governing VAT in the UK.
Credit and Debit Cards
We welcome credit and debit cards from customers worldwide. Incorrect or out of date card numbers or expiry details do not constitute a valid payment and we will have no contractual liability to the customer. If any valid payment is later rejected by your bank and you have already been sent the goods, we will have the right to recover the goods at your expense unless another valid payment is provided.
Ordering By Phone
Phone orders can be taken by us between 9.30 - 4.30 on working days. Please phone 029 20 300 800. You should ensure that you give each item code or description, your address including post code, your credit or debit card details and a contact number or email address.
Ordering by Email, Post or Fax
Orders for goods, once processed, will be distributed either by Royal Mail, Parcel force or by a delivery company contracted by us. You agree to allow us to supply third party suppliers with customer delivery and order details.
Dispatch within the UK is usually made within three working days of the acceptance of the order. Dispatch outside the UK will usually be within five working days. In the event of dispatch being delayed we will attempt to contact you.
Next Day Delivery
Next day delivery is available at additional cost in the UK providing that the order is received before 11.00 a.m. UK time.
The term 'working days' does not include weekends, UK bank holidays or public holidays in Wales. Please note that St David's Day (1 March) is understood in these terms and conditions to be a public holiday
If we are unable to perform any of our obligations under these conditions of sale by reason of any event or circumstance beyond our control, such failure shall not be regarded as a breach of our obligations and we shall be entitled to suspend performance of those obligations until such time, if any, we are able to fulfill our obligations. Force Majeure in this case includes but is not limited to adverse weather conditions, fire flood, vandalism, theft, industrial action, hardware breakdown and delay caused by faults in software or by software viruses.
Under the United Kingdom's Distance Selling Regulations, consumers have the right to cancel the contract for the purchase of any of the items on an order within a period of 7 working days, beginning with the day after the day on which the item is delivered. This applies to all of our physical goods except cancellations of contracts for the purchase of DVD, VHS, audio, and software where the item has been unsealed. Other than this exception we will accept returns which are unused and in an "as new" condition.
As soon as we receive the goods you are returning we will refund the purchase price for that item and the proportion of the delivery charges relevant to it.
After the 7 day period, non faulty goods will be replaced or refunded at our discretion. You will, however, be required to pay the carriage costs associated with the return and any replacement goods. If a refund is granted, we will deduct the original carriage costs.
All sales of downloadable content are final. We do not accept returns of downloadable content. Once you have purchased downloadable content, we encourage you to download it promptly and to make back-up copies of it. You may download the content three times within the five days commencing on the day of the initial download. If you are unable to complete a download after having reviewed our online help resources, please contact Acen customer service. You bear all risk of loss after purchase and for any loss of downloadable content you have downloaded, including any loss due to a computer or hard drive crash. We may, from time to time, remove downloadable content from the web site without notice.
We undertake to do its utmost to assist you at all times. If, for any reason, you have a complaint you should contact the company in writing by e-mail, post or fax.
Contacting the Customer
We may contact you with information about opportunities and products. If you do not wish to receive such information from us you should inform us with your order or tick the appropriate box on the website. You have the right at any time to contact us in writing to request that further information is not sent to you.
The legal and equitable title in respect of the goods which are subject to these Conditions of Sale shall pass you only on receipt by us of the contract price, carriage charges and tax in full.
Once we receive your payment for downloadable content, we grant you a non-exclusive, non-transferable right to use the downloadable content for your individual personal use for non-commercial, educational or entertainment purposes. You may copy, store, transfer and burn the downloadable content only for your individual personal use for non-commercial educational or entertainment purposes, subject to and in accordance with these terms and conditions.
You represent, warrant and agree that you will use the downloadable content only for your individual personal use for non-commercial, educational or entertainment purposes and not for any redistribution of the downloadable Content or other use restricted in these terms and conditions You agree not to infringe the rights of the downloadable content's copyright owners and to comply with all applicable laws in your use of the downloadable content.
Other than the rights granted in these terms and conditions you agree that you will not redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, sub-licence or otherwise transfer or use the downloadable content. You are not granted any synchronization, networking, promotional use, commercial sale, resale, reproduction or distribution rights for the downloadable content. You acknowledge that the downloadable content embodies the intellectual property of a third party and is protected by law.
This disclaimer does not affect your statutory rights. We provide information, products and services (or third party information, products and services), 'as is' without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. We do not warrant that the functions contained in the material contained in this site will be uninterrupted or error free, that defects will be corrected, or that this site or the server that make it available are free of viruses or represent the full functionality, accuracy, reliability of the materials. In no event will we be liable for any loss or damage including, without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from use or loss of use of, data, or profits, arising out of or in connection with the use of this website or the goods and services thereon.
Governing law and jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales
